SpotOn Spots Loyalty Program Terms and Conditions
The following terms and conditions ("Terms") apply to the SpotOn Transact, LLC ("SpotOn", "us", or "we") Loyalty Program ("Program") which is available to certain Qualifying Customers (defined below) on the SpotOn Website ("website") or SpotOn Mobile Application (the "SpotOn App"). The Program may provide you with the opportunity to earn SpotOn Spots ("Spots") from participating merchants ("Merchants") and redeem those Spots from the particular Merchant from whom the Spots were earned, as is outlined below.
By participating in the Program, you consent and agree to be bound by and comply with these Terms and to be subject to the SpotOn User Terms of Service ("Terms"), including the Arbitration Agreement and class action waiver set forth in the Terms. Participation in the Program is completely voluntary, optional, and is not required to obtain any other products or services from SpotOn.

1. Participation in the Program
Participating in the Program is free. To be eligible for the Program, you must be a natural person and resident of the United States and have a valid and active SpotOn account ("SpotOn Account") in the United States as of the date of your enrollment (each a "Qualifying Customer"; collectively referred to as "Qualifying Customers"). Qualifying Customers must maintain an active SpotOn Account for the duration of their participation in the Program. SpotOn Accounts belonging to businesses or other non-natural person legal entities are ineligible for participation in the Program.
SpotOn or the Merchant reserves the right to delay your enrollment in the Program until your eligibility is confirmed. SpotOn or the Merchant may cancel your enrollment for any reason at any time and without notice, including if SpotOn or the Merchant suspects you are misusing the Program for any reason, including but not limited to, if any of the following events occur:
You violate these Terms, the terms of the User Terms of Service, or the terms of any other product or service offered by SpotOn or its affiliates and/or partners;
You have more than one SpotOn Account with each Merchant;
We suspect you are engaging in any fraudulent or other illegal activity in connection with the Program, or otherwise engage in activity that we deem to be abusive or "gaming" conduct under the Program, as determined in our sole discretion;
You engage in fraudulent activity in connection with the Program or any other product offered by us;
There remain no Merchants participating in the Program; or
You, the Merchant, or we close your SpotOn Account for any reason.
Spots may be immediately canceled or forfeited, at our discretion, for any reason including if any of the above events occur.
2. Earning Spots
You can earn Spots automatically at checkout when visiting or placing orders with a participating Merchant or visiting the Merchant’s store. You will earn Spots at a rate set by each Merchant. To learn about additional earning requirements and earning rates, please ask the Merchant.
Spots can only be earned from participating Merchants and can only be redeemed from a Merchant where the particular Spots were earned. Spots earned from different Merchants cannot be combined.
Spots can only be earned and redeemed as specifically set forth in these Terms, on the website, on the SpotOn App, or by the Merchant. Unless otherwise specified in these Terms or in writing by us, Spots can only be earned after enrollment in the Program, and no Spots will be provided retroactively. There is no limit on the number of Spots you can earn each calendar year.
Any attempt by you to contravene the specific limitations of an opportunity to earn Spots as set forth herein, on the website,in the SpotOn App, or with the Merchant will cause you to be ineligible and disqualified from participating in the Program, at the sole discretion of SpotOn or the Merchant. SpotOn and the Merchant will not award Spots for any unauthorized or fraudulent use of your SpotOn Account and SpotOn and the Merchant reserve the right to refuse or reverse any Spots applications and redemptions if we or the Merchant discover you engaged in such conduct.
3. Reviewing Spots Balance
Spots will normally be posted to your SpotOn Account within thirty (30) days after completing an order with a particular Merchant. You will have a separate Spots balance for each Merchant. We do not assume any liability for failure of Spots to post to your SpotOn Account in a timely manner and Spots for some orders may take longer than thirty (30) days to post. You may review your Spots balance from each Merchant by accessing your SpotOn Account through the SpotOn website or SpotOn App. Once posted to your SpotOn Account, Spots are available to you should you choose to redeem them with the particular Merchant. If an order with a Merchant is voided that previously resulted in an award of Spots, we reserve the right to debit the corresponding Spots from your SpotOn Account and deduct those Spots from your Spots balance. Spots will be deducted from your SpotOn Account within thirty (30) days of the voided order. If you believe Spots were erroneously deducted from your SpotOn Account with no corresponding voided order, you should contact the Merchant that performed the deduction within fourteen (14) days of the deduction to dispute the deduction.
4. Redeeming Spots
Spots can only be redeemed from the Merchant from whom they were earned. You may only redeem Spots if you are a Qualifying Customer and your SpotOn Account is active, valid, and in good standing at the time of your redemption. You can redeem your Spots when making online orders, either on the website or on the SpotOn App, or in person at a Merchant’s location. SpotOn and the Merchant each reserve the right to limit the number of Spots you can use with each redemption. All Spots redemptions are final unless otherwise noted by us in writing or as set forth in these Terms. The number of Spots necessary to apply to a redemption may vary depending on the type and value of the redemption and are subject to change from time to time without notice.
5. Problems with Earning and Redeeming Spots
Unposted Spots
You are solely responsible for checking your SpotOn Account regularly to ensure that Spots are properly credited. If it has been more than forty-five (45) days since you have earned Spots and the Spots are not reflected in your SpotOn Account, please contact the Merchant. If you believe your Spots balance, as reflected in your SpotOn Account, is inaccurate, you must notify us within one-hundred and twenty (120) days of the order. Failure to notify us within one-hundred and twenty (120) days of the order will result in the forfeiture of any Spots that may have been earned in connection with such order. We reserve the right, in our sole and absolute discretion, to determine whether Spots should have been posted to your SpotOn Account and to adjust your SpotOn Account accordingly. You acknowledge that any such determination by us will be final and binding. IF YOU DISAGREE WITH ANY SUCH DETERMINATION, OR OTHERWISE DISPUTE THAT SPOTS HAVE BEEN PROPERLY CREDITED TO YOUR SPOTON ACCOUNT, YOUR SOLE REMEDY IS TO WITHDRAW FROM THE PROGRAM.
Errors in Redeeming Spots
In the event you redeemed Spots and your redemption was not fulfilled properly by the Merchant, you must contact the Merchant within fourteen (14) days of your redemption
6. Expiration of Spots
Unless otherwise noted by the Merchant, Spots do not expire so long as you maintain an active and valid SpotOn Account in good standing. There are no credits, exchanges, or refunds for unused Spots.
7. Spots Do Not Have Cash or Other Value
Spots are not your property and may not be assigned or transferred to any person (including upon death or as a part of a domestic relations matter), except as expressly authorized by these Terms. Spots have neither cash value of any kind until and to the extent they are actually redeemed. The sale or barter of any Spots, other than by us, is expressly prohibited and will result in the immediate termination of your enrollment in the Program and forfeiture of all Spots.
8. Changes to the Terms
We reserve the right to change these Terms from time to time. Any updates to these Terms will be available on the website or on the SpotOn App unless applicable law requires we provide prior notice. You acknowledge your responsibility to review these Terms from time to time and to be aware of any such changes. By continuing to participate in the Program, you consent to and accept any updated version of these Terms, as modified. Merchants may impose additional restrictions and limitations on the Program.
SpotOn reserves the right, in its sole discretion and at any time, to change, add, limit, substitute, or remove the (1) methods by which you can earn Spots and (2) the ways in which you can redeem your Spots. In the event we change the means of redeeming Spots, Qualifying Customers will be provided with reasonable notice and an opportunity to redeem their accumulated Spots before any modification takes effect although SpotOn does not guarantee that any particular means of redemption will always be available. Any new or additional earning of Spots shall be subject to these Terms unless explicitly stated otherwise in writing.
9. Non-combination with Other Offers
Participation in the Program, any Spots earned, or Spots redeemed may not be combined with any other offer or promotional program offered by SpotOn. Spots are earned for an individual's own SpotOn Account and cannot be combined with another member's account.
10. SpotOn Privacy Policy for Consumers and SpotOn User Terms of Service
By participating in the Program, you confirm, acknowledge and agree that you have read the User Terms of Service and our Privacy Policy for Consumers and agree to be bound by them. If you do not agree to be bound by the SpotOn User Terms of Service or the Privacy Policy for Consumers , you may not participate in the Program and must immediately close your SpotOn Account and cease your use of SpotOn products or services.
11. Indemnification
You agree to indemnify, defend, and hold SpotOn harmless from and against any and all liabilities and costs incurred in connection with any claim directly or indirectly arising out of or related to any actual or alleged breach by you of these Terms, including without limitation attorneys' fees and costs. For those matters subject to indemnification by you in which SpotOn is a party, SpotOn may provide input into the defense of such matters, at its own expense. You further agree to cooperate as requested by SpotOn in the defense of any indemnified claim. You shall not in any event settle any indemnified claim without the prior written consent of SpotOn. Without limiting any obligation to indemnify and hold harmless, with respect to your obligation to defend, SpotOn reserves the right, at its own discretion and expense, to assume the exclusive defense (including exclusive control) of any matter that is subject to indemnification by you.
12. Complete Terms and Conditions
These Terms incorporate by reference the SpotOn User Terms of Service and the Privacy Policy for Consumers as though fully set forth herein, including but not limited to any terms governing dispute resolution, representations and warranties, limitations of liability, disclaimers, and governing law. These Terms, the SpotOn User Terms of Service and the Privacy Policy for Consumers constitute the entire agreement between you and SpotOn and govern your participation in the Program and the earning and redemption of any Spots, superseding any prior agreements between you and SpotOn. In the event of any conflict between these Terms and the SpotOn User Terms of Service , these Terms shall govern any and all transaction, controversies, disputes, claims, or any other conduct or interaction arising out of or relating to the Program, Spots, or these Terms.
13. Termination
These Terms are effective unless and until terminated by either you or SpotOn. You may terminate these Terms by closing your SpotOn Account. Closing your SpotOn Account is the only way to terminate your enrollment in the Program. We may terminate these Terms at any time and may do so immediately without first providing notice of intent to terminate.
SpotOn reserves the right to cancel and terminate your SpotOn Account or enrollment in the Program for any reason identified in these Terms. If SpotOn terminates your enrollment in the Program for any of the reasons provided in these Terms, termination will be effective immediately. We also reserve the right to terminate your enrollment in the Program at any time for any reason upon five (5) days' written notice. You will forfeit any and all unredeemed Spots in your SpotOn Account on the day of termination.
14. No Waiver
Our failure to exercise or enforce any right or provision of these Terms or the SpotOn User Terms of Service shall not constitute waiver of such right or provision. If any provision of these Terms or the SpotOn User Terms of Service is found by an arbitrator or court of competent jurisdiction to be invalid, the parties nevertheless agree that the arbitrator or court should endeavor to give appropriately valid effect to the intention of these Terms or the SpotOn User Terms of Service as reflected in the provision, and the other provisions of these Terms or the SpotOn User Terms of Service shall remain in full force and effect.
